Annual reports those little pieces of joy that are sent from the Secretary of State’s office every year.

This past year we seemed to have dealt with client’s whose “Registered Agent” either themselves or another party, neglected to file the reports and have fallen into “Involuntary Dissolution” and needed assistance with their resurrection on a regular basis.

In the past there were a couple of cases where their companies had been dead for over a year.  We actually filed a final tax return for one that had in reality been dead for 5 years.  We were dealing with an heir of the owner on this issue.

Those reports are important and should be treated as such.  We are glad to assist clients in filling out their reports when they ask for our assistance.  I filled out a copy of one this year and sent it to the client.  They actually had questions, mainly because I was having problems reading my writing.  I do wish they gave more space for some information.

But these reports should also be triggering your Annual Meeting of your Board of Directors.  I don’t care if you are a sole owner.  You should be having a formal meeting and recording it and placing the minutes into your corporate record book.
