I am working with a client that will be closing its business down because they did not follow all of the necessary rules and closing the company is easier than dealing with the resulting consequences according to their attorney.

They already have a new company in place for their back-up plan.  This is the outgrowth of a side business.  It may not make a lot of money but will keep them active.

But then the client started talking about taking up the same business activities that were controversial with the first company, which still is not closed.

This is counter to everything we had discussed; they would close the first company and leave that business behind.  But the client believes in the mission, and does not want to abandon it.  Nor does he want to pay the true costs of running the business.

I completely understand mission based businesses; I have worked with too many NFP to not understand them.  But if you are going to do them you have to follow all of the legal obligations to do so.
